Enterprise License Agreement

This Enterprise License Agreement (“Agreement”) is a legal agreement between the individual or entity (“Licensee”) and Sturnus Holdings LLC, a Delaware limited liability company, for the use of proprietary software, systems, data products, design frameworks, documentation, and any associated services (collectively, the “Licensed Materials”).

BY ACCESSING, INSTALLING, COPYING, OR OTHERWISE USING THE LICENSED MATERIALS, LICENSEE AGREES TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE LICENSED MATERIALS.

1. Grant of License

Sturnus grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to internally evaluate the Licensed Materials solely for non-commercial, internal business use.

2. Restrictions

• Modify, reverse engineer, decompile, or disassemble the Licensed Materials
• Distribute the Licensed Materials beyond internal stakeholders
• Use the Licensed Materials to build a competing product
• Circumvent security or access controls
• Resell, lease, or sublicense the Licensed Materials

3. Ownership and Intellectual Property

Sturnus retains all rights, title, and interest in the Licensed Materials, including all related intellectual property.

4. Confidentiality

Licensee agrees to treat the Licensed Materials as confidential and not disclose them to third parties without prior written consent.

5. Feedback

Any feedback becomes the property of Sturnus without obligation to Licensee.

6. Data Use

Licensee agrees to comply with data protection laws such as GDPR, CCPA, and HIPAA where applicable.

7. Termination

This license is effective until terminated. Upon termination, Licensee must stop using and destroy all copies of the Licensed Materials.

8. Disclaimer of Warranty

THE LICENSED MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

9. Limitation of Liability

Sturnus is not liable for indirect, incidental, or consequential damages arising from use of the Licensed Materials.

10. Indemnity

Licensee agrees to indemnify and hold harmless Sturnus from any claims arising from misuse or violation of this Agreement.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of Delaware. Disputes will be resolved in Miami-Dade County, Florida.

12. Entire Agreement

This Agreement constitutes the entire agreement and supersedes all prior agreements.
